Statement
1. This Agreement is a valid contract between you and Hangzhou Tiangu Information Technology Co., Ltd. for matters relating to the provision of digital certificate services to you. You should carefully read and comply with this Digital Certificate Service Agreement (hereinafter referred to as "this Agreement"), especially the terms and conditions specially indicated in bold, and this Agreement has contractual effect and will be established and effective when you check the box to confirm and complete all registration procedures..
2. Please read carefully and fully understand the content of the terms and conditions, especially the terms and conditions specially indicated in bold, eSign rights, disclaimer and dispute resolution terms. If you have any questions about this agreement or if you do not understand any of the terms accurately, please do not proceed with the subsequent operation.
3. You promise to accept and abide by the agreement of this agreement, and you may not claim that this agreement is invalid or request to revoke this agreement on the grounds that you have not read the content of this agreement or have not received answers to your inquiries from Hangzhou Tiangu Information Technology Co.,Ltd.
4. The list of third party electronic certification authorities cooperating with Hangzhou Tiangu Information Technology Co., Ltd. is shown to you as an Appendix to this Agreement. When you use the digital certificate issued by any authority, you should read the "Certification Practice Statement"(CPS), "Digital Certificate Service Agreement" and "Security Tips for the Use of Digital Certificate" published on the official website of that authority in a timely manner.
5. This digital certificate service agreement was updated on August 13, 2021 and will take effect on August 13, 2021.
I. Introduction of digital certificate service
1. Hangzhou Tiangu Information Technology Co., Ltd., as registration authority, cooperates with the electronic certification authority recognized by the Ministry of Industry and Information Technology to issue digital certificates for individuals or enterprises who have passed identity authentication, providing comprehensive electronic signature services for individuals or enterprises.
2. You complete the identity authentication and use the digital certificate to obtain the electronic signature trust service through the eSign Platform of Hangzhou Tiangu Information Technology Co., Ltd.
3. "Certificate" in this agreement refers to personal certificate or enterprise certificate.
4. The form of the certificate includes UKEY certificate and cloud certificate.
II. Explanation of terms
1. Electronic Certification Authority (CA)
Certification Authorities which is trusted by subscribers to create and issue and manage public key certificates, and sometimes to create keys for subscribers.
2. Registration Authority (RA)
For digital certificate subscribers, it is responsible for the application, approval and management of digital certificates for subscribers.
3. Digital certificate
Individuals and organizations who apply for digital certificates from electronic certification authorities through eSign.
4. Subscriber
Refers to individuals and organizations who have entrusted eSign to obtain certificates from authoritative third party digital certification authorities.
5. Private key
The key generated by the mathematical operation (kept by the holder) is used to create a digital signature and, depending on the operation, to decrypt the document or information encrypted by the corresponding public key (to ensure the confidentiality of the information).
6. Public key
A mathematically generated key that is publicly available and can be used to verify a digital signature generated by its corresponding private key. The public key can also be used to encrypt a message or file and decrypt it with the corresponding private key, according to the algorithm.
7. Relying party
A relying party is an individual or organization that relies on the underlying trust relationship evidenced by a digital certificate and conducts business accordingly.
III. Apply, use, renewal and cancellation of the certificate
1. Before you use the digital certificate, you need to apply for a digital certificate from eSign. By checking this Agreement and accepting the services provided by eSign, you are indicating your intention to apply for a digital certificate. You shall truthfully provide the materials required for your application for a digital certificate in accordance with this Agreement for eSign to review.
2. Once the digital certificate application materials submitted by you have passed eSign's review, eSign will apply for issuing a digital certificate to a third party electronic certification authority for you. eSign will notify you of the result of your digital certificate application in a certain manner, e.g. if your application fails, you will not be able to continue to enjoy eSign's Services.
3. The digital certificate applied for you by eSign can only be used on the eSign Platform within the validity period. When the validity period of the digital certificate expires, eSign will automatically renew the digital certificate for you. If your digital certificate is revoked, the validity period of the digital certificate will expire.
4. When a relying party receives a message signed by you, it can verify the validity of the digital certificate and use the public key on the digital certificate to verify the signature and thus determine whether your electronic signature is valid in the message it receives.
5. If the private key of the digital certificate is destroyed, lost or leaked within the validity period, you should apply for cancellation procedures in a timely manner and the cancellation will take effect from the time the procedures are completed and you will be responsible for any losses incurred before the cancellation takes effect..
6. If you become aware that the private key of the certificate has been lost or may have been lost, you should promptly inform the eSign Platform to assist in the revocation of the certificate and to terminate the use of the certificate.
7. If you use your digital certificate for matters defined as illegal by laws and administrative regulations, eSign will apply to a third party electronic certification authority for revocation of your digital certificate.
8. eSign will archive your digital certificate information, and the archived records will be kept until at least 5 years after the expiry of the certificate.
IV. Rights and obligations of subscribers
1. You shall provide relevant information to the eSign Platform in accordance with the certificate application process stipulated by eSign, and guarantee the authenticity, accuracy and completeness of the registration information filled in and the information provided, otherwise the eSign Platform or eSign has the right to reject your application request.
2. If your certificate information changes within the validity period of the certificate, you shall promptly inform the eSign Platform and eSign in writing and terminate the use of the certificate.
3. If you are an enterprise user, you shall inform eSign in writing within 5 working days of the occurrence of the above-mentioned circumstances to apply for revocation of the digital certificate and termination of the use of the certificate if your enterprise is separated, merged, dissolved, cancelled, declared bankrupt or closed down, or has its business license revoked, otherwise, you shall fully compensate for any loss caused to eSign due to the failure of such notification obligation.
4. You agree that eSign Platform shall verify your information with relevant departments and individuals. eSign Platform shall legally collect, process, transmit and apply your information and keep it confidential in accordance with relevant state regulations and the agreement of this Agreement.
5. You have the independent right to use the certificate. The rights arising from your use of the certificate shall be enjoyed by you; the obligations and responsibilities arising from your use of the certificate shall be borne by you.
6. You shall keep the private key of the certificate in a safe place. If the private key of the certificate is leaked, destroyed or lost due to your reasons, you shall bear the loss.
7. In order for you to obtain electronic signature services through the eSign Platform, you authorize eSign to maintain the digital certificate for you in an appropriate manner and to help you call up the digital certificate with your authorization. You are responsible for the rights, obligations and consequences of your authorized actions.
V. Rights and obligations of eSign
1. eSign shall provide you with digital certificate services as agreed in the agreement with you.
2. If you have any of the following circumstances, eSign has the right to apply to a third party electronic certification authority for revocation of the certificate without any liability. You shall be liable to eSign for any loss caused to eSign as a result.
2.1 The data or information you provide to the eSign Platform is untrue, incomplete or inaccurate.
2.2 You have changed the information of your certificate and have not terminated the use of the certificate and notified the eSign Platform.
2.3 If you know that the private key of the certificate has been lost or may have been lost, you do not terminate the use of the certificate and notify the eSign Platform.
2.4 You use the certificate beyond the validity period and application scope of the certificate.
2.5 Your enterprise is separated, merged, dissolved, cancelled, declared bankrupt or closed down, or has its business license revoked, etc. The main qualification is terminated.
2.6 You use the certificate for illegal or criminal activities.
VI. Exclusion of liability
1. eSign shall not be responsible for any loss caused by equipment failure, power failure and communication failure or computer virus, natural disasters and other factors.
2. If the private key of the certificate is deciphered or stolen due to the reason of the third party electronic certification authority, the third party electronic certification authority shall bear the compensation responsibility to you.
VII. Termination of the Agreement
This agreement terminates if either:
1. The term of your digital certificate expires.
2. Your digital certificate is revoked.
3. You apply to eSign for revocation of your digital certificate or termination of this Agreement and eSign agrees.
4. The parties agree to terminate this Agreement.
5. This Agreement shall be terminated in accordance with laws, regulations and other provisions.
VIII. Dispute Resolution
Disputes arising from this Agreement, regardless of the amount in dispute, shall be submitted to the Hangzhou Arbitration Commission for arbitration by applying the summary procedures under the arbitration rules of the Hangzhou Arbitration Commission. The arbitral award shall be final and binding on the parties.

The Identity Authentication Service Agreement (hereinafter referred to as "this Agreement") is a valid contract between Hangzhou Tiangu Information Technology Co., Ltd(hereinafter referred to as "eSign" or "we") and the user (hereinafter referred to as "you") in relation to the use of the identity authentication service (hereinafter referred to as "the Service") and other related matters.
Please read this agreement carefully as it will help you to understand the content of the services we provide to you and your rights and obligations.
To facilitate your use of the Service, by clicking on or otherwise acknowledging this Agreement through a web page, you are deemed to have fully understood all of the terms of this Agreement and agree to enter into and be bound by this Agreement with eSign.
I. Definition
Identity Authentication Service: A service provided by eSign to confirm the authenticity of your identity and that of the business you belong to through information verification, face recognition, verification code backfill and manual audit, and to provide the authentication results back to you or the merchant providing products or services to you.
II. Authorization and Permission
2.1 In order to provide the Service to you, the merchant providing products or services to you ("Merchant") is required to provide the information (e.g. name, ID number, mobile phone number, etc.) that you have filled in or retained during the application process to eSign.
2.2 In order to accurately verify your identity and prevent fraudulent use of your identity, you authorize eSign to collect information from your device to verify that you are in a trusted environment when authenticating, and to collect your face photo, ID card, bank card number, mobile phone number, organization's unified social credit code, corporate account and other information as required according to different authentication methods.
2.3 In order to accurately verify your identity, eSign shall, where necessary, provide the information set out in the preceding paragraph to third party organizations that legally hold your information for comparison and verification, so that eSign can verify the authenticity of your identity.
2.4 In order to facilitate the merchant to assess whether to provide products or services to you, if you authorize the merchant to retrieve the authentication results and authentication related information from eSign, eSign will provide them to the merchant in accordance with your authorization.
3. Your Rights and Obligations
3.1 eSign will do its best to improve the accuracy of the certification results, but due to the limited scope of information that eSign can collect and the fact that the technical level and verification means of the industry are still in the process of improvement, eSign cannot ensure that the verification results are completely accurate. If you find that the certification results are inaccurate, you can inform us via our customer service hotline 400-087-8198 so that we can re-verify and gradually improve our certification capability.
3.2 You may not use the Service in areas that are restricted or prohibited by Chinese laws and regulations, or that are contrary to moral customs, otherwise you shall be liable for any loss suffered by eSign or a third party as a result.
3.3 If you find that our collection or use of your personal information violates the laws or administrative regulations or violates the agreement with you, or if you find that your personal information collected or stored by us is incorrect, you may inform us via the customer service hotline 400-087-8198 and request deletion or correction.
3.4 You should be aware that the Service only verifies the authenticity of personal or business identities.
IV. eSign's rights and obligations
4.1 eSign shall provide the Services to you as agreed in this Agreement.
4.2 eSign will continuously adjust and improve the content and form of the corresponding authentication services in accordance with the development of authentication technology and the needs of the market risk environment.
4.3 In addition to protecting your personal information in accordance with the laws and regulations and this Agreement, we will strictly protect your information in accordance with eSign's User Privacy Policy when handling your information. Please read this policy carefully and feel free to contact us if you have any questions.
V. Exclusion of Liability
You understand and agree that, in view of the special nature of computers and the Internet, the following circumstances are not a breach of contract by eSign: 1) the service cannot be provided or interrupted due to natural disasters such as floods, earthquakes, plague epidemics, etc., as well as social events such as war, unrest, governmental actions, interruption of telecommunication backbone lines, network blockage, technical adjustment of telecommunication departments and governmental control, etc.; 2) hacker attacks causing service interruption, information data leakage; however, we shall do our best to deal with the emergency in accordance with this agreement. 3) eSign needs to interrupt the service for a short period of time when conducting server configuration and maintenance; 4) the access speed of your website decreases due to the blockage of the pathway on the Internet; 5) the interruption or termination of the service due to the relevant requirements of national laws, regulations and policies.
VI. Changes to the Agreement
In order to meet your diversified and specialized service needs, we may add or change the service content or service mode in accordance with national laws, regulations and other regulatory documents and business needs, and we may make changes to the content of this Agreement and announce them in advance by posting an announcement on the official website of eSign (www.www.produce-partner.com). If you do not accept the changes to this Agreement, you have the right to choose to stop using the Services at your own discretion. If you continue to use the Service after the effective time as agreed in the announcement, you have fully read, understood and accepted the content of the modified Agreement.
VII. Applicable Law and Jurisdiction
This Agreement shall be governed by the laws of the People's Republic of China (for the purposes of this Agreement only, excluding the laws of Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan). In the event of a dispute between eSign and you regarding the signing, performance or interpretation of this Agreement, both parties shall endeavour to resolve it through friendly negotiation. If no negotiation is reached, both eSign and you agree to file a lawsuit in the people's court of the defendant's domicile.

I. How we collect your personal information
We collect the information we need to achieve the functions of our products in accordance with the principles of legality, legitimacy and necessity, and we use the information we collect appropriately.

(i) Information provided by you during registration and real name verification
1.1 You are required to provide your mobile phone number or email address as your account login name when you register for an eSign account. If you do not provide the aforementioned information, you will not be able to register for an eSign account or use the eSign Services (mobile phone number or email address may not be required in the case of login through a third party platform, subject to the agreement between the third party platform and us. You may contact us via the various contact details set out in this Agreement for advice).
1.2 If you choose to undergo identity authentication services, you will be required to provide your real name, ID card/passport and other identification, face recognition video, facial photo, bank card information, mobile phone number, personal handwritten signature or other authentication information provided by you in accordance with your chosen method of identity authentication. This information is collected to meet the real name requirements of relevant laws and regulations. If you do not provide such information, you will not be able to complete your identity authentication and issue documents in your real name.
If you are a legal entity, we may also collect your company business licence information or organization code certificate information, the name and valid ID number of your legal representative or a photo of the front and back of your ID card, your company domicile, your company telephone number or your company public bank account information.
(ii) Information you provide in the course of your use
We may collect material that you voluntarily upload to us, including original contracts, hashes or other written material, which may relate to your private information or trade secrets. We will store the above information securely. We do not actively collect or analyse this information unless you submit it for contract review as a service. If you provide information about another person, including personal information such as name, telephone number, ID number, recipient address, email address, etc., you must confirm that you are authorized to do so and that the other person is aware of and agrees to be bound by this Privacy Policy, and that you will be responsible for any damage caused to the other person by the information you provide. Also, if someone else makes a contrary comment or expressly states to us that they do not wish to be bound by this Privacy Policy, we will delete the relevant information.
In addition, to ensure the continuity of our services and the security of your account, we may collect the following information from you.
2.1 Device information: device model, operating system version, unique device identifier, IP address information.
2.2 Software information: version number of the software, browser type. We may collect information about the mobile applications and other software you use in order to ensure the security of the operating environment or as necessary to provide services (calling other apps for authentication services).
2.3 Certain device permissions: We may obtain certain device permissions based on your permission, including address book permissions, which are used to allow you to select contacts in your address book as signatories when signing and to send relevant signing notifications. We will not store your address book information for other uses; camera access, for certain service scenarios such as face recognition; and photos access, for certain service scenarios where you select the images you want to upload to your albums.
Please be aware that you can choose to enable/disable the above permissions via your device's application permissions. We can only obtain the above permissions if you allow/enable the permissions for contacts, camera, access to photos.
2.4 Service log information. Log information relating to the eSign Services, such as the way, type and status of your network access, login time, operation logs, service logs, etc. when using our service.
2.5 IP and location information. For example, we may obtain your geographical location information through IP address, GPS, WiFi or base station. You can choose to turn on or off the authorization of location information. If you turn off the authorization, location-related functions may not be available and you may not be able to complete the risk verification.
2.6 If you use our customer service system or contact us, we may collect and store your mobile phone number, email address, mailing address and your feedback for the purpose of contacting you and resolving problems.
(iii) Information provided to us by third parties for the purpose of contracting
With your express consent, we may share your personal information with eSign's partner. For example, you authorize the eSign's partner to share your name, ID number, mobile phone number, email address and signed electronic documents to the eSign platform, and you can view and download the information or documents on the platform.
(iv) Other Information
This Privacy Policy is not a complete list and does not cover all possible future features and business scenarios. We may collect information from you for other specific purposes not set out in this Privacy Policy, but we will seek your consent in advance.
(v) Exceptions with authorized consent
In accordance with the relevant laws and regulations, your authorized consent is not required for the collection of your personal information in the following circumstances.
5.1 in connection with the fulfillment of the obligations of the personal information controller under the laws and regulations;
5.2 directly related to national security or defence security;
5.3 directly related to public safety, public health, or vital public interests;
5.4 directly related to criminal investigation, prosecution, trial and execution of judgments, etc.;
5.5 for the purpose of safeguarding the life, property and other significant legitimate rights and interests of the subject of the personal information or other individuals but where it is difficult to obtain your own authorized consent;
5.6 where the personal information collected is disclosed by you to the public at your own discretion;
5.7 necessary for the conclusion and performance of contracts according to the requirements of the subject of personal information;
5.8 where personal information is collected from information that is lawfully and publicly disclosed, such as lawful news reports, government information disclosure and other sources;
5.9 necessary to enter into a contract at your request or as otherwise agreed by the parties in the contract;
5.10 necessary for maintaining the safe and stable operation of the products or services provided, such as detecting and disposing of faults in the products or services;
5.11 necessary for academic research institutions to carry out statistical or academic research in the public interest and to de-identify the personal information contained in the results when providing the results of academic research or descriptions to the public.
II. How we use your personal information
We will use the information we collect in strict accordance with the laws and regulations and our agreement with you as follows:
(i) to help you become our member;
(ii) providing products and services to you, including the fair use of services such as identity authentication, will authentication and deposition completed by relying on third parties;
(iii) product development and service optimization;
(iv) to make it more convenient for you to view contracts, authorizing the Alipay Contract Manager applet to provide functions such as viewing of your signed contracts;
(v) other uses: We will seek your prior consent when we want to use information for other purposes not set out in this Privacy Policy or when we want to use information collected for a specific purpose for other purposes.
Your information will be stored on eSign's servers. We may use information collected through certain services for other purposes in order to provide you with a better experience, to improve our services or for other purposes to which you have consented, subject to relevant laws and regulations. For example, to use information about your use of one of our services for services such as user research analysis and statistics, but we will not combine the information we store in our analytics software with the personally identifiable information you provide in the application.
III. How we share, transfer and publicly disclose your personal information
We do not share your personal information with any companies, organizations and individuals except for the following.
(i) Sharing
1.1 We may share your personal information with the public in accordance with the provisions of laws and regulations, the need for litigation dispute resolution, or in accordance with mandatory requirements imposed by administrative or judicial authorities under the law.
1.2 Sharing with partner organizations: Some of our services will be provided jointly by us and partner organizations for the purposes of this electronic signature or service. We may share certain of your personal information with our partners in accordance with laws and regulations.
(a) Your personally identifiable information and contract information will be transferred to an electronic certification service provider (CA, Certificate Authority), notary public, judicial appraisal centre, blockchain, internet court, arbitration commission, third-party identification agency, and will be used and stored by the above authorities for purposes such as issuing the appropriate certification documents or processing cases. We will only share your personal information for lawful, legitimate and necessary purposes, and only as much personal information as is necessary to provide the services.
(b) Sharing via SDK (App login users only): Some products and services may be provided by our authorized partners and we may provide the products or services to you via an SDK. In the process, our authorized partners may collect, use and store data or information about you, and We have listed specific authorized partners and provided a link to the privacy policy of that third party, which we recommend you read.These include: As a push technology service provider, Zhejiang Merit Interactive Network Technology Co., Ltd. (Getui) may provide some of your device information, etc., for the purpose of providing you with push technology services, details of which are listed below. Godsend Data may collect information about you through the SDK for data analysis to improve our products and services, and we list the details of the information it collects below. 2.1 We have collected your personal information without your express consent.
2.2 we have processed your personal information in breach of legal or regulatory requirements.
2.3 We have used and processed your personal information in breach of our agreement with you.
2.4 You cease to use our products or services, or cancel your eSign account.
2.5 We cease to provide services to you.
For business reasons and in order to protect the interests of all parties to the transaction, we will retain your personal information directly related to the identity authentication, will authentication and signing of the business in the case of paragraph 2.4 of this article.
If you still want to delete this part of the information, you need to authorize and agree with all parties involved in the business, and we will delete your personal information involved in the business after receiving the deletion instructions jointly from you and all parties involved in the business.
Once you or we have assisted you in deleting the relevant information, we may not be able to immediately delete the corresponding information from our backup systems due to applicable laws and security technology, and we will store your personal information securely and avoid any further processing until the backup can be erased or anonymisation is achieved.

Please note that if you cancel your eSign account, you will no longer be able to log in and use our products and services with this account, and we will cease to provide electronic signature products, depository services and legal services for this account. However, we would like to remind you that in order to comply with the relevant laws and regulations, the personal information and data provided or generated by you during the use of our products and services will still be stored for at least five years in accordance with the requirements of the Electronic Signature Law.

This agreement is an eSign Service Agreement signed by Hangzhou Tiangu Information Technology Co., Ltd. and eSign users. Hangzhou Tiangu Information Technology Co., Ltd. provides services under the eSign platform for eSign users. This Agreement has contractual effect, the user has checked the box to confirm that this Agreement is established and effective.
This eSign Service Agreement is updated on July 23, 2021 and will become effective on July 23, 2021.
I. Declaration and Commitment
1.1 You acknowledge that you have read and understood this Agreement in its entirety prior to registering as a user of eSign, and that by registering and successfully using the Service, you agree to abide by all of the terms of this Agreement. If you do not agree to any of the contents of this Agreement or are unable to understand the terms of this Agreement correctly, please do not check this Agreement for subsequent operations. At the same time, you undertake to comply with the provisions of Chinese laws, regulations, rules and other governmental regulatory documents, and if any legal consequences result from any violation, you will be independently responsible for all corresponding legal liabilities in your own name.
1.2 You agree that the Company reserves the right to make unilateral changes to the content of this Agreement at any time without separate notice to you and that the changes will be posted on www.www.produce-partner.com. If you continue to use the Service after changes to the content of this Agreement are posted, you represent that you have fully read, understood and accepted the modified content of this Agreement and will use the Service in accordance with the modified content of this Agreement; if you do not agree with the modified content of this Agreement, you shall cease using the Service at your own discretion.
II. Definitions and Explanations
2.1 eSign Account
An eSign account is a unique number provided by the Company to you. You can set your own password for this account to use or check the e-signature services provided by the eSign platform for you. You must use your email or mobile phone number or other means permitted by the Company, such as entering your password, filling in the SMS verification code, scanning the QR code, identifying your biometric features, etc., as a means of logging into your eSign account.
2.2 The Platform
Except as otherwise provided in this Agreement, the Platform means www.www.produce-partner.com and the relevant mobile client of eSign and the applets of eSign under other applications.
2.3 Third party Certificate Authority(CA)
Refers to a third party digital certificate issuing authority with an Electronic Certification Service License.
2.4 Electronic signature authentication certificate (digital certificate)
A string of data provided by a nationally recognized third party digital authentication centre containing the identity information of the certificate holder and relevant information such as the public key, used to confirm the identity information of the communicating parties in Internet communications and to ensure the security of online information.
2.5 Digital signature
Some data attached to a data unit or a cryptographic transformation of a data unit. This data or transformation allows the recipient of the data unit to confirm the origin of the data unit and the integrity of the data unit and to protect the data from forgery by, for example, the recipient.
2.6 Electronic seal
The electronic image data of a traditional physical seal based on digital signature technology has the basic characteristics of being digitally stored, having a unique identification, being protected based on digital signature technology and being used only after authorization.
2.7 Handwritten signature
Electronic image data of traditional handwritten signatures based on digital signature technology, with basic features such as digital storage, unique identification, protection based on digital signature technology and being used only after authorization.
2.8 Electronic signature (signature)
Based on electronic handwriting or electronic seal information, digital signature technology is used to achieve security protection of electronic documents (e.g. Word, Excel, web pages, PDF, OFD, etc.) and visual graphical presentation of seal information, which can be used to identify the authenticity of the identity of the signatory of an electronic document, the non-repudiation of the act of signing, and the integrity of the document being signed.
2.9 Time-stamping
Means a legally valid time stamp provided by a third party that proves that a piece of electronic data already existed at a certain point in time and that any changes made after that point in time can be detected.
III. Services
3.1 Electronic signature services
3.1.1 You can create your own electronic signature production data through the eSign platform. You can choose the appropriate method of identity authentication for your digital certificate application on the eSign platform, and you can choose the seal services such as template seal, handwritten seal and QR code seal to create your own personal seal. You can access the corresponding electronic documents on the eSign platform, adopt your personal seal and complete the signing of electronic documents according to your personal wishes by invoking your digital certificate private key.
3.1.2 At the same time you sign an electronic document, the eSign platform will timestamp that electronic document to determine the time of signing for each electronic signature.
3.1.3 eSign ensures that the electronic signature creation data you create on the Platform is exclusively owned and controlled by you.
3.2 Certificate deposit and issuing service
3.2.1 In order to ensure that your electronic contract can be more probative at a later stage, you authorize the eSign platform to collect and fix your signing information, including but not limited to the device information, network information, system logs, signatory identity information, signing method and other data of the operating account.
3.2.2 the electronic documents signed by you and the signed information are transmitted to eSign's depository system in real time and are fixed in real time using time-stamping technology.
3.2.3 After the electronic document or signed information has been fixed, you can issue an electronic or paper version of the evidence report through the eSign platform to prove the authenticity of the electronic document and the signing process.
3.3 Legal services
3.3.1 You authorize eSign to synchronise the transmission of your signed electronic documents to a third party notary, and you may apply for the issuing of a notary certificate through eSign's depository platform to certify that the electronic documents have not been tampered with since the date of storage to the notary.
3.3.2 You authorize eSign to synchronise the transmission of the hash value of your signed electronic document to a third party forensic centre and you may apply for the issuing of a forensic opinion through eSign's depository platform to prove the consistency of the electronic document against the hash value of the electronic document.
IV. Service Fees
We reserve the right to charge you for the use of the Service. The Company reserves the right to set and adjust the service charges as set out in the notice of charges set out on the product pages of this website at the time you use the Service or as otherwise agreed between you and the Company in writing.
V. User Accounts
5.1 Registration
5.1.1 eSign users are divided into individual users and corporate users. At the time you agree to accept this Agreement and register as an eSign user, you are 18 years of age or older, or you are a legal person or other organization legally conducting business activities or other business in mainland China; the content of this Agreement is not precluded by the laws of the country or region to which you belong. If you do not meet the aforementioned conditions, you shall immediately terminate your registration or stop using the Service.
5.1.2 The eSign account is the unique number provided to you by the Platform. Except as otherwise provided in this Agreement or in the relevant products, you must register on the Website or log in via the mobile phone verification code to obtain the eSign account provided to you by the Company and provide the relevant information as required by the Company in order to use all the services provided by the Company.
5.1.3 You shall accurately and truthfully fill in the registration information required of you by this website, carefully improve your personal data and ensure the authenticity of your contact information and email address, so that this contract can make timely and effective contact with you.
5.1.4 You confirm that if you register on the Platform on behalf of other natural persons, legal entities and other organizations, you represent and warrant that you are legally authorized by them and bound by this Agreement.
5.2 Identity authentication
5.2.1 You can use the e-signature services provided by eSign after you have actually obtained an eSign account through registration or other means permitted by us, and you can choose whether or not to use the identity authentication service provided by eSign. If you choose identity authentication, you can use your own digital certificate to complete the electronic signature. If you do not choose identity authentication, eSign will use the tamper-proof digital certificate of Hangzhou Tiangu Information Technology Co., Ltd.
5.2.2 If you complete the e-signature without identity authentication, the digital certificate after the completed e-signature will not be replaced by your identity authentication again, and the e-signature is irrevocable after it has been signed. If you need to use your own digital certificate for e-signature, you should authenticate your identity and initiate the act of e-signature again.
5.2.3 If you complete the e-signature without identity authentication, although the electronic data signed by the e-signature is tamper-proof, the electronic data signed by your e-signature may not be recognised by the judiciary for reasons such as the identity of the subject is unknown, as your account with e-signature cannot be verified with your real identity.
5.2.4 If you complete the electronic signature without identity authentication, you should clearly inform the parties to the electronic contract of the risks and responsibilities of signing the electronic contract without identity authentication and state them in a clear manner in the electronic contract to ensure that the parties to the contract sign the electronic contract using the electronic signature with clear knowledge of the risks and responsibilities.
5.2.5 You are aware of the legal consequences of not using identity authentication for you and your signatory associates, and you can choose whether to use our identity authentication according to your actual application scenario and needs. We are only a technical service provider for identity authentication and electronic signature, and we are not responsible for the legal consequences of whether you choose identity authentication or choose a different type of identity authentication.
5.2.6 You shall complete your identity information in accordance with the requirements of e-signature to finalise the identity authentication. If the electronic signature (signature) operation of you or your signing associate does not complete the identity authentication and the electronic signature act of you or your signing associate and the electronic contract signed as a result are not protected by the relevant laws, you shall bear the corresponding legal responsibility.
5.3 Information related
5.3.1 You shall update your correct, current and complete identity information and related data in accordance with the requirements of eSign in a timely manner after obtaining such account. If we have reasonable grounds to suspect that the identity information and related data provided by you are incorrect, inaccurate, out of date or incomplete, we have the right to suspend or terminate the provision of some or all of the eSign Services to you. The Company shall not be responsible for this and you will bear any direct or indirect expenses incurred as a result. If the Company requires you to provide any additional relevant information due to national laws and regulations, departmental regulations or regulatory authorities, the Company has the right to suspend or terminate the provision of part or all of the eSign Services to you if you fail to cooperate in providing the relevant materials in a timely manner, and the Company shall not be liable for any loss caused by your failure to cooperate in providing the relevant materials.
5.3.2 You shall accurately provide and promptly update the email address and contact details you provide to enable us to contact you in a timely and effective manner. You shall be solely responsible for any losses or increased costs suffered by you in the course of using the Service as a result of not being able to contact you through such contact details. You understand and agree that you are obliged to keep the contact details you have provided current and to update them if they need to be changed, as requested by us.
5.3.3 You shall promptly update your information (including but not limited to ID card, household register, passport or other identification documents, contact details, email or mobile phone number used as the login name of your eSign account, email or mobile phone number bound to your eSign account, etc.). You shall be responsible for all consequences arising from your failure to update your information in a timely manner, such consequences include but are not limited to the inability to provide the Service or any error in the provision of the Service, misuse of your account and electronic signature creation data by others.
5.3.4 If you are an individual user, you acknowledge that we have the right to request verification of your valid identity document or other necessary documents and to retain a colour scanned copy of the valid identity document, and you shall cooperate with us, otherwise we have the right to restrict or stop providing some or all of the eSign Services to you; and you agree that we have the right to transfer your personal identification information, copies or scanned copies of documents to credit bureaus and other nationally recognized data service providers for their use and retention for the purpose of verifying the identity of the signatory.
5.3.5 If you are an corporate user and your corporate is merged, dissolved, cancelled, declared bankrupt or closed down, or has its business license revoked, you shall notify eSign in writing within 5 working days of the occurrence of the above circumstances and terminate the use of your eSign account registered as such corporate user and the corresponding digital certificate, otherwise, eSign has the right to cancel your eSign account and revoke your digital certificate at any time without any liability for breach of contract. Otherwise, eSign has the right to cancel your eSign account and revoke your digital certificate at any time without incurring any liability for breach of contract, and you shall be responsible for all compensation for any loss caused to eSign due to your failure to fulfill such notification obligation.
5.3.6 If you are a corporate user, in the event of a change of corporate information, you are required to re-authenticate your identity in the corporate console of the eSign platform after completing the change of business information to update your account-related information and apply for a new digital certificate for document signing. If you continue to use the digital certificate containing your original business information to sign documents without timely re-authentication on the eSign platform after the change of business information, eSign will not be responsible for any risk or loss caused by such action.
5.3.7 You agree that the Company has the right, at your option, to carry out authentication review of the information (including but not limited to mobile phone number, email address, ID card, household register, bank account, business licence, proof of organization, etc.) required to be submitted by you or your signed associates in the course of using the Service, and that the authentication review is limited to screening and verification of the information and materials submitted by the user, and that the Company will conduct a reasonable and careful formal review of the data and information submitted by the user, but within the Company's legal authority and reasonable ability, the Company cannot substantially review the actual operation, operation and transactions of the user, and does not provide any guarantee for this. If a dispute arises with another user or a third party as a result of the user's actions, the user shall be solely responsible for the external liability and you shall compensate the Company, the other user or the third party for any damage caused as a result.
5.3.8 If you access this Agreement through the website of the third party platform and check the box to confirm the establishment of this Agreement, you are deemed to have agreed to synchronise the data generated on the third party platform to the eSign platform, and if the third party platform has transmitted the data generated on its platform to the eSign platform, the user can obtain the user's data, such as the signed electronic contract, and the corresponding evidence report, etc. on the eSign platform.
5.3.9 If authorized by you (as authorized by you in the Alipay Contract Manager applet), eSign will synchronise the transfer of your signed electronic contracts to the Alipay Contract Manager applet and you can view your signed electronic contracts in the Alipay applet. Also for easy viewing, you authorize Alipay to perform functions such as physical consolidation and archiving of your signed contracts for service enhancement.
5.4 Cancellation
5.4.1 The eSign account you apply for cancellation should be the account you have registered in accordance with the eSign Service Agreement. You shall follow the procedures prescribed by us or the instructions on our website to cancel your eSign account.
5.4.2 Cancellation of an account is a non-recoverable operation and you will no longer be able to use the account or retrieve any content you have added or bound to the account, including information relating to digital certificates, electronic handwriting, electronic seals, electronic documents and signature records (even if you use the same mobile phone number to register and use eSign again), and you should back up the information and data relating to the account yourself. Please ensure that all documents relating to the account have been properly disposed of before proceeding.
5.4.3 Cancellation of an eSign account will result in the termination of the rights and obligations agreed between us and you and may also have the following consequences for that account, which you will be responsible for.
A. all personal details and signed documents for the account will not be recoverable.
B. the contact person for the account will not be able to contact you via the account.
C. The balance of the package fees charged to the account will not be refunded.
5.4.4 The eSign account that you apply for cancellation shall be free from any outstanding contractual relationships and other rights and obligations arising or maintained on the basis of the existence of the account as a result of the cancellation of the account and where the Company considers that the cancellation of the account would give rise to a dispute over outstanding rights and obligations arising therefrom.
5.4.5 We reserve the right to terminate the cancellation of your eSign account at our sole discretion without your consent if, during the period of cancellation, your account is the subject of a complaint by another person, is under investigation by state authorities or is the subject of litigation or arbitration proceedings, or is found to be in any circumstances.
5.4.6 You agree that if we are still in existence or need to verify your relevant contract signature at the time you apply for cancellation of your eSign account, we have the right to continue to freeze your eSign account for continued verification and, if necessary, to report fraudulent or illegal acts to regulatory or judicial authorities. Cancellation of your eSign account does not exempt or mitigate the account actions and related liabilities in respect of such account cancellation.
5.5 Account security
5.5.1 You shall keep your eSign login and password, identification information, mobile phone verification code and other information in safe custody and you shall be responsible for any loss arising from the disclosure of your password or identification information due to you. You shall keep such products or equipment under your control or supposed to be under your control in safe custody and you shall be responsible for any loss arising from the loss of such products or equipment.
5.5.2 Based on user habits on computers, mobile phones and other electronic devices, we may set up different account login modes and take different measures to identify you when you use specific products.
5.5.3 If you become aware of any fraudulent use or theft of your eSign login name, password, authentication code or any other circumstances not legally authorized, or the loss of your mobile phone or other device associated with your eSign account or any other circumstances that may compromise the security of your eSign account, you should immediately notify us in a valid manner and apply to us for suspension of the relevant services. You understand that there is a reasonable period of time for the Company to act on your request and that the Company shall not be liable for the instructions executed and for any loss incurred by you until such time.
5.5.4 You should ensure that you take the correct steps to leave the Website at the end of your continuous access to the System. The Company cannot and will not be liable for any loss, damage or other adverse consequences arising from your failure to comply with this paragraph.
5.5.5 You acknowledge that you are solely responsible for your eSign Account and that only you may use it. The account is non-transferable, non-giftable and non-inheritable, but the relevant assets within the account may be legally inherited. If you decide that you no longer wish to use the Account, you should export or delete the data available in the Account and apply to the Company for cancellation of the account in accordance with the procedures set out by the Company.
5.5.6 The Company has the right to know the true transaction background and purpose of your use of the Company's products or services and you shall truthfully provide true, comprehensive and accurate information required by the Company; if the Company has reasonable grounds to suspect that you have provided false transaction information, the Company has the right to temporarily or permanently restrict some or all of the functions of the products or services used by you and you shall be responsible for the corresponding consequences.
VI. Rules for Users
6.1 We accept instructions from you in one of three ways: Firstly, by logging into your eSign account on this website or other websites or software where the Service is available, using your eSign account name and password or a secure product such as a digital certificate, and modifying or confirming the instructions in accordance with the pre-defined process for the Service;Secondly, replies to messages (SMS or telephone calls etc.) sent by you to the System from the mobile phone or other means of communication (hereinafter collectively referred to as such mobile phone) number that was used as the name of such account or tied to such account at the time of your registration. Thirdly, the information you send to this system through other hardware, terminal, software, code, other account name, etc., tangible or intangible, which is used as the name of the account at the time of your registration or is tied to the name of the account. Any instruction given by you to the Company by any of the above three means shall be irrevocable or revocable and shall be the sole instruction of the Company to provide you with electronic signature (signature) services and shall be deemed to be your own instruction and you shall be responsible for any results arising from the faithful execution of such instruction by the Company. Binding of this Agreement means that there is a corresponding relationship between your eSign Account and the tangible or intangible entities referred to above in this section, that such relationship enables certain service functions of the eSign Services, and that such relationship sometimes enables such tangible or intangible entities to serve as the basis for the identification and recognition of your eSign Account by the System.
6.2 In the course of your use of the Service, the content of this Agreement, the prompts on the web page regarding the operation of the transaction or the content of the information sent by the Company to the mobile phone (SMS or telephone, etc.) are the relevant rules for your use of the Service, and your use of the Service means that you agree to accept the relevant rules of the Service. You understand and agree that the Company has the right to unilaterally amend the relevant rules of the Service without your consent, and that the rules of the Service shall be subject to the instructions on the page (or the SMS or telephone message sent to the mobile phone, etc.) when you use the Service, and that your agreement to and compliance with the rules of the Service is a prerequisite for your use of the Service.
6.3 The Company may notify you of the progress of the electronic signature (signature) service and prompt you to proceed with the next step by email or SMS, but the Company does not guarantee that you will receive such email or SMS in a timely manner and will not be liable for any consequences thereof. The Company shall not be liable for any dispute or loss arising from your failure to check and perform the electronic signature (seal) operation in a timely manner.
6.4 You agree to authorize the Company to provide your signature information to your e-signatory affiliates and agree that the Service shall be free from any legal liability arising from such information without altering the substance of the information provided by you. You agree to provide the Company with the necessary signature information (including but not limited to your name, contact number, email address, ID number, etc.) with the consent of your signing associate and you are responsible for the authenticity of this information and the Company shall not be liable for any disputes or losses arising from any untrue or incomplete information provided by you.
6.5 You confirm that where you sign documents on the Platform on behalf of another organization, you are legally authorized by that organization to provide us with its necessary signing information (including, but not limited to, organizational references, seals etc.) and you shall ensure that such information is complete, true and up to date. You shall be liable for any loss, damage and other adverse consequences arising from your failure to comply with this paragraph.
6.6 By using the electronic signature service provided by the Company, you agree that you and your counterparty have reached an agreement on the signing of the electronic document and agree to use electronic signature to complete the signing of the document, and you acknowledge the electronic data generated during the signing process.
6.7 You authorize and agree that we will synchronise all your electronic data after you have logged on to the eSign Platform by different means. You may log on to any page on the eSign Platform to carry out operations, and the information of such operations will be synchronised on other pages of the eSign Platform, APP or applets of third party applications.
6.8 Risks of use
6.8.1 If you or the party with whom you are signing an electronic document does not comply with the instructions and rules set out in this Agreement or on the instructions page of the Website when using the Service, the Company reserves the right to refuse to provide the relevant service to you and the party with whom you are signing, and the Company shall not be liable for damages.
6.8.2 You will be responsible for any loss caused by your fault, including but not limited to: not following the electronic signature (seal) instructions, failing to carry out the identity authentication operation, failing to carry out the electronic signature (seal) operation in a timely manner, forgetting or leaking your password, having your password cracked by someone else, or having the computer you are using hacked by someone else.
6.9 Data storage
6.9.1 We are not responsible for the deletion or storage failure of your data in relation to the Service, but you acknowledge that the signature records of your eSign account, etc. are subject to the data recorded in the eSign system.
6.9.2 The Company reserves the right to determine the maximum period of storage of data on the Service for an individual user at its discretion and to allocate maximum data storage space on the server for that user, etc. You may back up the relevant data in the Service at your own discretion as you see fit.
6.9.3 If you stop using the Service or the Service is terminated or cancelled, the Company may permanently delete your data from the server. We are not obliged to return any data to you after the Service has been stopped, terminated or cancelled.
6.10 Restrictions of use
6.10.1 You shall comply with the relevant laws and regulations of the People's Republic of China, the laws and regulations of your country or region and relevant international practices when using the Service and shall not use the Service for any unlawful purpose or in any unlawful manner.
6.10.2 You must not use the Service to engage in acts that infringe the legitimate rights and interests of others, otherwise the Company has the right to refuse to provide the Service and you shall be liable for all relevant legal liabilities, and you shall be liable for any damage caused to the Company or our employees as a result.
6.10.3 You understand and agree that the Company shall not be liable for any damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses (whether or not the Company has been advised of the possibility of such damages), arising out of any of the following.
A. We reserve the right to suspend, discontinue or terminate the provision of the Service or any part thereof to you and remove your Data from all or any part of your eSign account in our sole discretion, including but not limited to if we believe that you have breached the express terms and spirit of this Agreement.
B. If the Company finds abnormal signatures or reasonably suspects that the signatures are suspicious or in breach of legal provisions or this Agreement, the Company has the right to suspend or terminate the use of all or part of your eSign account without notice (including but not limited to taking restrictive measures such as cancelling signatures for electronic documents and in-transit signature processes under these accounts) and refuse your use of some or all of the functions of the Service, and notify you by You shall be notified of such refusal by email or SMS or client notification.
C. You understand and agree that we have the right to suspend or terminate all or part of the eSign Services or all or part of the signature process for your eSign account, and to restrict some or all of the functions of the products or services you use (including, but not limited to, restrictive measures such as the cancellation of signatures for electronic documents and in-transit signature processes under these accounts), and notify you by email or intranet or client notification, and you should promptly be aware that.
1) In accordance with the agreement of this Agreement.
2) In accordance with the provisions of laws, regulations and legal instruments.
3) According to the requirements of the competent authorities.
4) When your use of the eSign Service is suspected of violating national laws, regulations and administrative provisions.
5) When the Company considers, based on its unilateral reasonable judgment, that there are abnormalities in the account operation, signature process, etc.
6) When the Company considers, based on its own reasonable judgment, that risks may arise.
7) If you have violated the rules of the activity and the principle of honesty and credit by participating in market activities such as bulk account registration and other frauds.
8) You have been complained about by another person and the other person has provided certain evidence.
(9) You may have mistakenly put another person's account under the identity authentication.
6.10.4 If you apply for the reinstatement of the Services and the lifting of the above-mentioned freeze, you shall provide the relevant information and proof of your identity and other information or documents as required by us for our verification and we shall be entitled to decide whether to grant your application at our sole discretion. You should fully understand that your application is not necessarily permitted. If you refuse to provide the relevant information and proof of identity, or if you fail to pass our verification, you acknowledge that we have the right to cease providing services to such accounts and to restrict some or all of the functions of such products or services for a prolonged period of time.
6.11 We may, without prior notice, terminate the provision of the Service and suspend, close or delete all or part of your eSign accounts and all related information and files in those accounts and return your electronic files held in those accounts to your email address if we reasonably consider it necessary to do so.
6.12 The following circumstances are not appropriate for the use of electronic instruments under the Electronic Signatures Law.
A. those involving personal relationships such as marriage, adoption, inheritance, etc.
B. those involving the cessation of public utility services such as water supply, heat supply, gas supply, etc.
C. other situations where electronic instruments are not applicable as stipulated by laws and administrative regulations.
6.13 You must not use the Service for any purpose other than that permitted by the Company.

VIII. Intellectual Property Rights Statement
8.1 All content on this website, including but not limited to writings, images, files, information, materials, website structure, website screen arrangement, web design, is owned by the Company or our affiliates in accordance with the law and its intellectual property rights, including but not limited to trademarks, patents, copyrights, trade secrets, etc.
8.2 No person may use, modify, reproduce, publicly disseminate, alter, distribute or publicly publish the programs or content of this website without the written consent of the Company or the Company's affiliates.
IX. Disclaimers
9.1 The Company shall not be liable for damages if the following conditions prevent you from using the Services due to the failure of the Company's systems to function properly, such conditions include but are not limited to:
A. periods of system downtime announced by the Company on this website for maintenance.
B. Failure of telecommunications equipment that prevents data transmission.
C. The Company is unable to perform its services due to force majeure factors such as typhoon, earthquake, tsunami, flood, power failure, war, terrorist attack, etc.
D. Service interruptions or delays due to hacker attacks, technical adjustments or failures of telecommunications departments, website upgrades, etc.
The Company is only responsible for the scope of liability as stated in this agreement.
9.2 Any risk arising from the transaction shall be borne by you and the counterparty.
9.3 eSign User Information is provided by the User and the Company cannot guarantee the accuracy, timeliness and completeness of such information and you shall be solely responsible for your judgment.
9.4 To the extent permitted by law, the Company shall not be liable for any indirect, punitive, special or consequential damages (including loss of business, loss of revenue, loss of profits, loss of goodwill, loss of use of data or other economic benefits) arising out of or in connection with this Agreement, however arising and whether caused by a breach of this Agreement (including breach of warranty) or by tort. no liability whatsoever, even if previously advised of the possibility of such damages. In addition, the Company's liability for such damages shall be excluded even if the exclusive remedy provided for in this Agreement does not achieve its essential purpose.
9.5 You are fully aware and agree that we may provide the Service to both you and your counterparty and you agree to expressly waive any such action by us and not to rely on it to claim that we are legally defective in providing the Service.
9.6 By using the Service, you agree and acknowledge that we shall not be liable for any failure to provide the Service due to problems with the system itself, problems with connectivity to the relevant operating network or other unavoidable factors.
9.7 Except as otherwise provided in this Agreement or as otherwise agreed by us, your mandate to us and your instructions to us are irrevocable.
X. Liability for Breach
Unless otherwise agreed in writing between the Company and you regarding liability for breach of contract, the Company shall be liable for damages up to a maximum of RMB50,000 if an electronic document signed by you is deemed invalid by a court or arbitration committee as a result of a technical defect in our electronic signature.
XI. Legal and Dispute Resolution
The laws of the People's Republic of China shall apply to the validity, interpretation, variation, execution and dispute resolution of this Agreement, and where there are no relevant legal provisions, reference shall be made to common international commercial practices and/or industry practices. Any dispute arising from this Agreement shall be dealt with in accordance with the laws of the People's Republic of China and Hangzhou West Lake District People’s Court shall be the court of first instance.
XII. Others
12.1 You should also fully read, acknowledge and agree to abide by the additional terms and conditions of the relevant service when using the relevant eSign services.
12.2 This Agreement shall be effective from the date you agree to tick and successfully register as a user of the Website and shall remain in force unless this Service Agreement is terminated by the Website or the user loses his or her eligibility to be a user of the Website. The termination of this Service Agreement does not relieve the User of its obligations and responsibilities under this Service Agreement or other relevant agreements or rules.
12.3 If any provision of this Agreement is for whatever reason wholly or partly invalid or unenforceable, the remaining provisions of this Agreement shall remain valid and binding.
12.4 The headings in this Agreement are for convenience only and shall not have any separate legal effect.
12.5 The Company shall have the final right of interpretation of this Service Agreement.
本协议是由杭州天谷信息科技有限公司与e签宝用户签署的e签宝服务协议,杭州天谷信息科技有限公司为e签宝用户提供e签宝平台下的各项服务,本协议具有合同效力,用户经勾选确认本协议成立并生效。
本e签宝服务协议更新日期为2021年7月23日,将于2021年7月23日正式生效。
一、声明与承诺
1.1 您确认,在您注册成为e签宝用户前已充分阅读、理解本协议的全部内容,一旦您注册成功使用本服务,即表示您同意遵循本协议之所有约定。若您不同意本协议的任意内容或者无法对本协议中的条款正确理解的,请不要勾选本协议进行后续操作。同时,您承诺遵守中国法律、法规、规章及其他政府规范性文件的规定,如有违反而造成任何法律后果,您将以本人名义独立承担所有相应的法律责任。
1.2 您同意,本公司有权随时对本协议内容进行单方面的变更,无需另行单独通知您,变更将在www.www.produce-partner.com网站进行公布。若您在本协议内容公告变更后继续使用本服务的,表示您已充分阅读、理解并接受本协议修改后的内容,也将遵循修改后的协议内容使用本服务;若您不同意修改后的协议内容,您应自行停止使用本服务。
二、定义与解释
2.1 e签宝账号
是本公司向您提供的唯一编号。您可自行为该账户设置密码,用以使用或查询e签宝平台为您提供的电子签名服务。您需使用本人电子邮箱或手机号码或本公司允许的其它方式,例如通过输入密码、回填手机短信验证码、扫描二维码、识别生物特征等,作为登录e签宝账号的方式。
2.2 本平台
除本协议另有规定外,指www.www.produce-partner.com及e签宝相关移动客户端及e签宝在其它应用下的小程序。
2.3 第三方CA机构
指具备《电子认证服务许可证》的第三方数字证书签发机构。
2.4 电子签名认证证书(数字证书)
指由国家认可的第三方数字认证中心提供的、包含证书持有者身份信息以及公开密钥等相关信息,用于证实互联网通讯中通讯各方实体身份信息、保证网上信息安全的一串数据。
2.5 数字签名
附加在数据单元上的一些数据,或是对数据单元所作的密码变换。这种数据或变换允许数据单元的接收者用以确认数据单元的来源和数据单元的完整性并保护数据,防止被人(例如接收者)进行伪造。
2.6 电子印章
基于数字签名技术实现的传统物理印章的电子化图像数据,具有数字化存储、拥有唯一标识、基于数字签名技术保护以及授权后方可使用等基本特征。
2.7 手绘签名
基于数字签名技术实现的传统手写签字的电子化图像数据,具有数字化存储、拥有唯一标识、基于数字签名技术保护以及授权后方可使用等基本特征。
2.8 电子签名(签章)
基于电子笔迹或电子印章信息,采用数字签名技术,实现对电子文件(如:Word、Excel、网页、PDF、OFD等)的安全保护和印章信息的可视化图形展现,可用以辨识电子文件签署者身份的真实性、签章行为的不可抵赖性,以及被签章文件的完整性。
2.9 时间戳
是指由第三方提供的具有法律效力的时间戳,证明某份电子数据在某个时间点已经存在,该时间点后的任何修改均能被发现。
三、服务内容
3.1 电子签名服务
3.1.1 您可以通过e签宝平台制作专属于您的电子签名制作数据,您可以在e签宝平台选择适合您的实名认证的方式进行数字证书的申请,您可选择模板印章、手绘印章、二维码印章等印章服务制作您的专属个人印章,您可在e签宝平台查阅相应的电子文件,采用您的个人印章,依据您的个人意愿调用您的数字证书私钥完成电子文件的签署。
3.1.2 在您进行电子文件签署的同时,e签宝平台会为该份电子文件加盖时间戳,确定每次电子签名的签约时间。
3.1.3 e签宝确保您在平台上制作的电子签名制作数据专属于您所有并由您控制。
3.2 存证出证服务
3.2.1 为了确保后期您的电子合同能更具有证明力,您授权e签宝平台收集固定您的签署信息,包括但不限于操作账号的设备信息、网络信息、系统日志、签署人身份信息、签署方式等数据。
3.2.2 经您签署后的电子文件以及签署信息实时同步传输至e签宝的存证系统,并实时采用时间戳技术进行固定;
3.2.3 经固定后的电子文件或签署信息,您可以通过e签宝平台出具电子版或纸质版本的证据报告,证明电子文件以及签署过程的真实性。
3.3 法律服务
3.3.1 您授权e签宝将您签署的电子文件同步传输至第三方公证处,您可以通过e签宝的存证平台申请出具公证书,证明电子文件自存储至公证处之日起未被篡改的证明。
3.3.2 您授权e签宝将您签署的电子文件哈希值同步传输至第三方司法鉴定中心,您可以通过e签宝的存证平台申请出具司法鉴定意见书,证明电子文件与电子文件哈希值比对一致性的证明。
四、服务费用
在您使用本服务时,本公司有权向您收取服务费用。本公司拥有制订及调整服务费之权利,具体服务费用以您使用本服务时本网站产品页面上所列之收费方式公告或您与本公司达成的其他书面协议为准。
五、用户账户
5.1 注册相关
5.1.1 e签宝用户分为个人用户和企业用户,在您同意接受本协议并注册成为e签宝用户时,您已经年满 18周岁,或者您是在中国大陆地区合法开展经营活动或其他业务的法人或其他组织;本协议内容不受您所属国家或地区法律的排斥。不具备前述条件的,您应立即终止注册或停止使用本服务。
5.1.2 e签宝账户是本平台向您提供的唯一编号,除本协议另有规定或相关产品另有规则外,您须在本网站注册或通过手机验证码登陆取得本公司提供给您的e签宝账户,并且按照本公司要求提供相关信息方可使用本公司提供的全部服务。
5.1.3 您应准确真实地填写本网站要求您提供的注册信息,认真完善个人资料,确保联系方式、电子邮件地址的真实性,以便本合同与您进行及时、有效的联系。
5.1.4 您确认如您代表其他自然人、法人及其他组织在本平台上注册,则您声明并保证,您已获得其合法授权并受本协议的约束。
5.2 实名认证
5.2.1 您通过注册或者其他本公司允许的方式实际获得e签宝账号后,即可使用e签宝提供的电子签章的服务,您可以选择是否使用e签宝提供的实名认证服务。如果您选择了实名认证,您可以使用专属于您本人的数字证书完成电子签章,如果您未选择实名认证,e签宝将使用杭州天谷信息科技有限公司的防篡改数字证书为您完成电子签章。
5.2.2 如您未进行实名认证而完成电子签章,已完成的电子签章后的数字证书并不会因您再次进行实名认证而替换,电子签章完成签署后是不可撤销的。如您需要使用您本人的数字证书进行电子签章,您应进行实名认证,重新发起电子签章的行为。
5.2.3 如您未进行实名认证而完成电子签章,虽经电子签章签订的电子数据能实现防篡改的功能,但因您在e签宝的账号未能和您的真实身份进行验证,该份经您电子签章的电子数据有可能会因主体身份不明等原因不被司法审判机构予以认可。
5.2.4 如您未进行实名认证而完成电子签章,您应将未经实名认证而签署电子合同的风险及责任承担,明确的告知签署电子合同的各方并在电子合同中明确的方式注明,确保合同的各方在明确知悉风险和责任承担的情况下采用电子签章签署电子合同。
5.2.5 您知悉您及您的签署关联方未使用实名认证的法律后果,您可根据您的实际应用场景及需求自主选择是否使用本公司的实名认证,如果您未使用本公司的实名认证的,导致您及您的签署关联方签订的电子合同不具备法律效力的,本公司不承担责任,本公司仅为实名认证及电子签章的技术服务提供商,本公司不对您是否选择实名认证、或选择不同类型的实名认证的法律后果承担责任。
5.2.6 您应按照e签宝的要求完善您的身份信息以最终完成实名认证,若您或您的签署关联方的电子签名(签章)操作因未完成实名认证而使您或您的签署关联方的电子签章行为以及因此签订的电子合同不受相关法律保护的,您须自行承担相应的法律责任。
5.3 信息相关
5.3.1 您应按照e签宝要求在取得该账户后及时更新您正确、最新及完整的身份信息及相关资料。若本公司有合理理由怀疑您提供的身份信息及相关资料错误、不实、过时或不完整的,本公司有权暂停或终止向您提供部分或全部e签宝服务。本公司对此不承担任何责任,您将承担因此产生的任何直接或间接支出。若因国家法律法规、部门规章或监管机构的要求,本公司需要您补充提供任何相关资料时,如您不能及时配合提供,本公司有权暂停或终止向您提供部分或全部e签宝服务,若因您不能配合提供相关材料而造成任何损失,本公司对此不承担任何责任。
5.3.2 您应当准确提供并及时更新您提供的电子邮件地址、联系方式,以便本公司与您进行及时、有效的联系。您应完全独自承担因通过这些联系方式无法与您取得联系而导致的您在使用本服务过程中遭受的任何损失或增加任何费用等不利后果。您理解并同意,您有义务保持您提供的联系方式的有效性,如有变更需要更新的,您应按本公司的要求进行操作。
5.3.3 您应及时更新资料(包括但不限于身份证、户口本、护照等证件或其他身份证明文件、联系方式、作为e签宝账户登录名的邮箱或手机号码、与e签宝账户绑定的邮箱、手机号码等)。因您未及时更新资料导致的一切后果,均应由您自行承担,该后果包括但不限于导致本服务无法提供或提供时发生任何错误、账户及电子签名制作数据被别人盗用。
5.3.4 若您为个人用户,您确认,本公司有权要求核对您的有效身份证件或其他必要文件, 并留存有效身份证件的彩色扫描件,您应积极配合,否则本公司有权限制或停止向您提供部分或全部e签宝服务;同时您同意本公司有权将您的个人身份信息、证件复印件或扫描件相应传输至征信机构及其他具有国家认可资质的数据服务提供商,由该等机构以验证签约方身份之目的使用并保存。
5.3.5 若您为企业用户,贵企业合并、解散、注销、宣告破产或倒闭,或被吊销营业执照等主体资格终止的,您应于上述情况发生的5个工作日内通过书面形式告知e签宝,终止使用您以该企业用户注册的e签宝账户以及相应的数字证书,否则,e签宝有权随时注销您的e签宝账户及撤销您的数字证书而不承担任何违约责任,因您未尽该通知义务给e签宝造成损失的,由您负责全部赔偿。
5.3.6 若您为企业用户,在发生企业信息变更的情况下,需要您在完成工商信息变更后,在e签宝平台企业控制台中再次进行实名认证,以更新您的账号相关信息,并申请新的数字证书用于文件签署。如果您在企业信息变更后未及时在e签宝平台再次认证,仍继续使用包含原企业信息的数字证书签署文件,那么e签宝对该行为导致的一切风险和损失不承担责任。
5.3.7 您同意,本公司有权根据您的选择对您或您的签署关联方使用本服务过程中需要提交的资料(包括但不限于手机号、邮箱、身份证、户口本、实名银行账户、营业执照、组织机构证明等)进行认证审核,认证审核仅限于对用户提交的资料及信息进行甄别与核实,本公司将对用户提交的资料和信息进行合理、谨慎的形式审查,但在本公司的合法权限和合理能力范围内,本公司无法实质审查用户的实际经营、运营以及交易等行为,并不为此提供任何担保。因用户行为导致与其他用户或第三方发生争议的,由用户独立对外承担责任,因此给本公司、其他用户或第三方造成损害的,您应当依法予以赔偿。
5.3.8 如您通过第三方平台的网站查阅本协议并勾选确认本协议成立,视为您同意将第三方平台上产生的数据同步至e签宝平台,且第三方平台已经将其平台上产生的数据传送至e签宝平台,用户可以在e签宝平台获取用户的数据,比如签署后的电子合同,以及相应的证据报告等。
5.3.9 如获得您的授权(您在支付宝合同管家小程序中授权),e签宝将把您签署的电子合同同步传输至支付宝合同管家小程序,您可以在支付宝小程序中查看到您已签署的电子合同。同时为便于查看,您授权支付宝为提升服务就您签署的合同进行物理的整合和归档等功能。
5.4 注销相关
5.4.1 您所申请注销的e签宝账户应当是您本人依照《e签宝服务协议》的约定注册的账户。您应当依照本公司规定的程序或网站上的提示进行e签宝账户注销。
5.4.2 注销账户是不可恢复的操作,您将无法再使用该账户或找回您添加或绑定在该账户上的任何内容,包括数字证书、电子笔迹、电子印章、电子文件和签名记录相关信息(即使您使用相同的手机号码再次注册并使用e签宝),您应自行备份该账户相关的信息和数据。操作之前,请确认与该账户相关的所有文档均已妥善处理。
5.4.3 e签宝账户注销将导致本公司与您约定的双方的权利义务终止,同时还可能对该账户产生如下结果,由您自行承担:
A. 该账户的全部个人资料和已签署文档都将无法找回;
B. 该账户的联系人将无法通过该账户联系您;
C. 该账户所充值的套餐费用余额将不予退回。
5.4.4 您申请注销的e签宝账户应当不存在任何由于该账户被注销而导致的未了结的合同关系与其他基于该账户的存在而产生或维持的权利义务,以及本公司认为注销该账户会由此产生未了结的权利义务而产生纠纷的情况。
5.4.5 在e签宝账户注销期间,如果您的账户被他人投诉、被国家机关调查或者正处于诉讼、仲裁程序中,或被发现有任何情况,我公司有权自行终止您e签宝账户的注销而无需另行得到您的同意。
5.4.6 您同意,如您申请注销e签宝账户时,本公司尚在或需要对您的有关合同签署进行核查的,本公司有权继续冻结您的e签宝账户以便继续核查,并在必要时有权向监管或司法部门举报欺诈或非法行为。注销您的e签宝账户不代表该账户注销签的账户行为和相关责任得到豁免或减轻。
5.5 账户安全
5.5.1 您应当妥善保管您的e签宝登录名和密码、身份信息、手机验证码等信息,对于因本人原因导致密码泄露、身份信息泄露所致的损失,由您自行承担。您应当妥善保管处于您或应当处于您掌控下的这些产品或设备,对于这些产品或设备遗失所致的任何损失,由您自行承担。
5.5.2 基于计算机端、手机端以及使用其他电子设备的用户使用习惯,我们可能在您使用具体产品时设置不同的账户登录模式及采取不同的措施识别您的身份。
5.5.3 如您发现有他人冒用或盗用您的e签宝登录名、密码、验证码或任何其他未经合法授权之情形,或发生与e签宝账户关联的手机或其他设备遗失或其他可能危及到e签宝账户安全情形时,应立即以有效方式通知本公司,向本公司申请暂停相关服务。您理解本公司对您的请求采取行动需要合理期限,在此之前,本公司对已执行的指令及所导致的您的损失不承担任何责任。
5.5.4 您应确保在持续登录本系统时段结束时,以正确步骤离开网站。本公司不能也不会对因您未能遵守本款约定而发生的任何损失、损毁及其他不利后果负责。
5.5.5 您确认,您自行对您的e签宝账户负责,只有您本人方可使用该账户。该账户不可转让、不可赠与、不可继承,但账户内的相关资产可被依法继承。在您决定不再使用该账户时,您应将该账户内的可用数据导出或删除,并按本公司规定流程向本公司申请注销该账户。
5.5.6 本公司有权了解您使用本公司产品或服务的真实交易背景及目的,您应如实提供本公司所需的真实、全面、准确的信息;如果本公司有合理理由怀疑您提供虚假交易信息的,本公司有权暂时或永久限制您所使用的产品或服务的部分或全部功能,其相应后果由您自行承担。
六、用户使用规则
6.1 本公司通过以下三种方式接受来自您的指令:其一,您在本网站或其他可使用本服务的网站或软件上通过以您的e签宝账户名及密码或数字证书等安全产品登录e签宝账户并依照本服务预设流程所修改或确认的指令;其二,您通过您注册时作为该账户名称或者与该账户绑定的手机或其他专属于您的通讯工具(以下合称该手机)号码向本系统发送的信息(短信或电话等)回复;其三,您通过您注册时作为该账户名称或者与该账户名称绑定的其他硬件、终端、软件、代号、编码、代码、其他账户名等有形体或无形体向本系统发送的信息。无论您通过以上三种方式中的任一种向本公司发出指令,都不可撤回或撤销,且成为本公司为您提供电子签名(签章)服务的唯一指令,视为您本人的指令,您应当自己对本公司忠实执行上述指令产生的任何结果承担责任。本协议所称绑定,指您的e签宝账户与本条上述所称有形体或无形体存在对应的关联关系,这种关联关系使得e签宝服务的某些服务功能得以实现,且这种关联关系有时使得这些有形体或无形体能够作为本系统对您的e签宝账户的识别和认定依据。
6.2 您在使用本服务过程中,本协议内容、网页上出现的关于交易操作的提示或本公司发送到该手机的信息(短信或电话等)内容是您使用本服务的相关规则,您使用本服务即表示您同意接受本服务的相关规则。您了解并同意本公司有权单方修改服务的相关规则,而无须征得您的同意,服务规则应以您使用服务时的页面提示(或发送到该手机的短信或电话等)为准 ,您同意并遵照服务规则是您使用本服务的前提。
6.3 本公司会以电子邮件、发送手机短信等方式通知您电子签名(签章)等服务进展情况以及提示您进行下一步的操作,但本公司不保证您能够收到或者及时收到该邮件或短信等,且不对此承担任何后果,因此,在交易过程中您应当及时登录到本网站查看和进行电子签名(签章)操作。因您没有及时查看和进行电子签名(签章)操作而导致的任何纠纷或损失,本公司不负任何责任。
6.4 您同意授权本公司向您的电子签署关联方定向提供您的签署信息,且同意本服务在未改变您所提供信息实质内容的情况下免于承担因该信息引起的任何法律责任。您同意在您征得签署关联方同意的情况下,向本公司提供其必要的签署信息(包括但不限于姓名、联系电话、电子邮箱、身份证号码等),您对此信息的真实性负责,因您提供的信息不真实、不完整而导致的任何纠纷或损失,本公司不负任何责任。
6.5 您确认如您代表其他组织在本平台上签署文件的情况下,您向本公司提供其必要的签署信息(包括但不限于组织机构证明材料、印章等)已经获得该组织的合法授权,您应确保上述信息完整、真实、最新。您应对因您未能遵守本款约定而发生的任何损失、损毁及其他不利后果负责。
6.6 您实际使用本公司提供的电子签章服务即视为您同意与您的签署相对方就电子文件的签署已经达成合意且同意使用电子签名的方式完成该文件的签署,并且您认可签署过程中产生的电子数据。
6.7 您授权并同意本公司将您通过不同方式登陆e签宝平台后的所有的电子数据进行信息同步,您可以登陆e签宝平台上的任一页面进行操作,该操作操作信息会同步在e签宝平台的其他的页面、APP或第三方应用的小程序中。
6.8 使用风险
6.8.1 在使用本服务时,若您或与您签署电子文件的对方未遵从本协议或网站说明页面中之操作提示、规则,则本公司有权拒绝为您与签名对方提供相关服务,且本公司不承担损害赔偿责任。
6.8.2 因您的过错导致的任何损失由您自行承担,该过错包括但不限于:不按照电子签名(签章)提示操作,未及时进行实名认证操作、未及时进行电子签名(签章)操作,遗忘或泄漏密码,密码被他人破解,您使用的计算机被他人侵入。
6.9 数据存储
6.9.1 本公司不对您在本服务中相关数据的删除或储存失败负责,但是您认可e签宝账户的签名记录等均以e签宝系统记录的数据为准。
6.9.2 本公司有权根据实际情况自行决定单个用户在本服务中数据的最长储存期限,并在服务器上为其分配数据最大存储空间等。您可根据自己的需要自行备份本服务中的相关数据。
6.9.3 如果您停止使用本服务或服务被终止或取消,本公司可以从服务器上永久地删除您的数据。在服务停止、终止或取消后,本公司没有义务向您返还任何数据。
6.10 使用限制
6.10.1 您在使用本服务时应遵守中华人民共和国相关法律法规、您所在国家或地区之法令及相关国际惯例,不将本服务用于任何非法目的,也不以任何非法方式使用本服务。
6.10.2 您不得利用本服务从事侵害他人合法权益之行为,否则本公司有权拒绝提供本服务,且您应承担所有相关法律责任,因此导致本公司或本公司雇员受损的,您应承担赔偿责任。
6.10.3 您理解并同意,本公司不对因下述任一情况导致的任何损害赔偿承担责任,包括但不限于利润、商誉、使用、数据等方面的损失或其他无形损失的损害赔偿(无论本公司是否已被告知该等损害赔偿的可能性):
A. 本公司有权基于单方判断,包含但不限于本公司认为您已经违反本协议的明文规定及精神,对您的名下的全部或部分e签宝账户暂停、中断或终止向您提供本服务或其任何部分,并移除您的资料。
B. 本公司在发现异常签名或合理怀疑签名有疑义或有违反法律规定或本协议约定之虞时,有权不经通知先行暂停或终止您名下全部或部分e签宝账户的使用(包括但不限于对这些账户名下的电子文件和在途签名流程采取取消签名等限制措施),并拒绝您使用本服务之部分或全部功能,并通过邮件或站内信或客户端通知等方式通知您,您应及时予以关注。
C. 您理解并同意,存在如下情形时,本公司有权对您名下e签宝账户暂停或终止提供全部或部分e签宝服务,或对签名流程的全部或部分进行终止,且有权限制您所使用的产品或服务的部分或全部功能(包括但不限于对这些账户名下的电子文件和在途签名流程采取取消签名等限制措施), 并通过邮件或站内信或者客户端通知等方式通知您,您应及时予以关注:
1)根据本协议的约定;
2)根据法律法规及法律文书的规定;
3)根据有权机关的要求;
4)您使用e签宝服务的行为涉嫌违反国家法律法规及行政规定的;
5)本公司基于单方面合理判断认为账户操作、签名流程等存在异常时;
6)本公司依据自行合理判断认为可能产生风险的;
7)您在参加市场活动时有批量注册账户及其他舞弊等违反活动规则、违反诚实信用原则的;
8)您遭到他人投诉,且对方已经提供了一定证据的;
9)您可能错误地将他人账户进行了实名制或实名认证的。
6.10.4 如您申请恢复服务、解除上述冻结,您应按本公司要求如实提供相关资料及您的身份证明以及本公司要求的其他信息或文件,以便本公司进行核实,且本公司有权依照自行判断来决定是否同意您的申请。您应充分理解您的申请并不必然被允许。您拒绝如实提供相关资料及身份证明的,或未通过本公司审核的,则您确认本公司有权长期对该等账户停止提供服务且长期限制该等产品或者服务的部分或全部功能。
6.11 在本公司合理认为有必要时,本公司无需事先通知即可终止提供本服务,并暂停、关闭或删除您名下全部或部分e签宝账户及这些账户中所有相关资料及档案,并将您滞留在这些账户的电子文件退回到您的电子邮箱。
6.12 根据《电子签名法》的规定下列情形不适合使用电子文书:
A. 涉及婚姻、收养、继承等人身关系的;
B. 涉及停止供水、供热、供气等公用事业服务的;
C. 法律、行政法规规定的不适用电子文书的其他情形。
6.13 您不得将本服务用于非本公司许可的其他用途。

八、知识产权声明
8.1 本网站上所有内容,包括但不限于著作、图片、档案、资讯、资料、网站架构、网站画面的安排、网页设计,均由本公司或本公司关联企业依法拥有其知识产权,包括但不限于商标权 、专利权、著作权、商业秘密等。
8.2 非经本公司或本公司关联企业书面同意,任何人不得擅自使用、修改、复制、公开传播、改变、散布、发行或公开发表本网站程序或内容。
九、免责声明
9.1 本公司系统因下列状况无法正常运作,使您无法使用各项服务时,本公司不承担损害赔偿责任,该状况包括但不限于:
A. 本公司在本网站公告之系统停机维护期间。
B. 电信设备出现故障不能进行数据传输的。
C. 因台风、地震、海啸、洪水、停电、战争、恐怖袭击等不可抗力之因素,造成本公司系统障碍不能执行业务的。
D. 由于黑客攻击、电信部门技术调整或故障、网站升级等原因而造成的服务中断或者延迟。
本公司仅对本协议中列明的责任承担范围负责。
9.2 因交易所产生的任何风险应由您与交易对方承担。
9.3 e签宝用户信息是由用户本人自行提供的,本公司无法保证该信息之准确、及时和完整,您应对您的判断承担全部责任。
9.4 在法律允许的情况下,本公司对于与本协议有关或由本协议引起的任何间接的、惩罚性的、特殊的、派生的损失(包括业务损失、收益损失、利润损失、商誉损失、使用数据 或其他经济利益的损失),不论是如何产生的,也不论是由对本协议的违约(包括违反保证)还是由侵权造成的,均不负有任何责任,即使事先已被告知此等损失的可能性。另外即使本协议规定的排他性救济没有达到其基本目的,也应排除本公司对上述损失的责任。
9.5 您充分知晓并同意本公司可能同时为您及您的对手方提供本服务,您同意对本公司可能存在的该等行为予以明确豁免,并不得以此来主张本公司在提供本服务时存在法律上的瑕疵。
9.6 您使用本服务时同意并认可,可能由于系统本身问题、相关作业网络连线问题或其他不可抗拒因素,造成本服务无法提供,对此本公司不承担任何责任。
9.7 除本协议另有规定或本公司另行同意外,您对本公司的委托及向本公司发出的指令均不可撤销。
十、违约责任
除本公司与您另达成关于违约责任赔偿的书面约定外,因本公司电子签名技术瑕疵导致您签署的电子文件被法院、仲裁委认定为无效的,本公司承担损失赔偿责任,最高不超过5万元。
十一、法律及争议解决
本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国法律,没有相关法律规定的,参照通用国际商业惯例和(或)行业惯例。因本协议产生之争议,均应依照中华人民共和国法律予以处理,并以杭州市西湖区人民法院为第一审管辖法院。
十二、其他
12.1 您使用e签宝相关服务时,亦应充分阅读、认可并同意遵守相关服务的额外条款。
12.2 本协议自您同意勾选并成功注册为本网站用户之日起生效,除非本网站终止本服务协议或者用户丧失本网站用户资格,否则本服务协议始终有效。本服务协议终止并不免除用户根据本服务协议或其他有关协议、规则所应承担的义务和责任。
12.3 如本协议中的任何条款无论因何种原因完全或部分无效或不具有执行力,本协议的其余条款仍应有效并且有约束力。
12.4 本协议中的标题仅为方便而设,不具有任何单独的法律效力。
12.5 本公司对本服务协议享有最终的解释权。

一、我们如何收集您的个人信息
我们根据合法、正当、必要的原则,收集为实现产品功能所需要的信息,并将收集信息进行合理使用。
我们会收集以下个人或企业信息:
(一)您在注册、实名认证时提供的信息
1.1 您在注册“e签宝”账户时需要提供手机号码或电子邮箱作为账户登录名。如您不提供前述信息,您将无法注册“e签宝”账户或无法使用“e签宝”的服务(通过第三方平台登录的情况可能不需要提供手机号码或电子邮箱,具体以第三方平台与我们的约定为准,您可以通过本协议所载明的各种联系方式联系我们进行咨询);
1.2 如您选择进行实名认证服务,您需要根据你所选择的实名认证方式,提供您的真实姓名、身份证/护照等身份证明、人脸识别视频、面部照片、银行卡信息、手机号码、个人手写签名或其他您提供的认证信息。收集此类信息是为了满足相关法律法规的实名制要求,若您不提供此类信息,您将无法完成实名认证,亦无法以实名身份签发文件。
如您是法人单位,我们还可能会收集您的公司营业执照信息或组织机构代码证信息、法定代表人姓名及有效证件号码或者身份证正反面照片、公司住所地、公司电话号码或公司对公银行账号信息。
(二)您在使用过程中提供的信息
我们会收集您主动上传至我们的材料,包含合同原文、哈希值或其他书面材料,该文件或材料可能涉及您的隐私信息或商业秘密。我们会对上述信息进行安全保存。除非您主动提交合同审阅的服务,我们不会主动收集或分析这些信息。若您提供的是他人的信息,包括姓名、电话号码、身份证号、收件地址、邮箱地址等个人隐私信息,您需确认获得对方授权且保证对方也知晓并同意受本隐私协议之约束,因您提供的信息造成他人损害的,将由您自行承担责任。同时,如果他人提出相反意见或者向我们明示不愿受本隐私协议约束的,我们将删除相关信息。
此外,为了保障我们服务的连续性及您的账户安全,我们会收集您的下述信息:
2.1 设备信息:设备型号、操作系统版本、唯一设备标识符、IP 地址信息。
2.2 软件信息:软件的版本号、浏览器类型。为确保操作环境的安全或提供服务所需(调用其他APP用于认证服务),我们会收集有关您使用的移动应用和其他软件的信息。
2.3 某些设备权限:我们可能基于您的允许获得某些设备权限,包括通讯录权限,用于您在签署时便于选择通讯录的联系人作为签署方,并发送相关的签署通知。我们不会保存您的通讯录信息作为他用;相机/摄像头权限,用于人脸识别等特定的服务场景;访问照片权限,用于特定服务场景下您自行选择需要上传的保存在您相册内的图片。
请您知悉您可以通过您的设备的应用权限选择开启/关闭上述权限的状态。我们仅能在您允许/开启通讯录、相机/摄像头、访问照片的权限的前提下获得上述权限。
2.4 服务日志信息。您在使用我们服务时接入网络的方式、类型和状态、登录时间、操作日志、服务日志等与“e签宝”服务相关的日志信息。
2.5 IP及位置信息。例如,我们可能会通过IP地址、GPS、WiFi或基站等途径获取您的地理位置信息。您可以选择开启或关闭地理位置信息的授权,如您关闭授权的,与地理位置相关的功能可能无法使用,可能无法完成风控验证。
2.6如果您使用我们的客服系统或与我们联系时,我们可能会收集并保存您的手机号、电子邮箱、通讯地址和以及您反馈的信息,用于与您取得联系和解决问题。
(三)第三方为实现签约目的提供给我们的信息
在获取您明确同意的情况下,我们会与e签宝的合作客户共享您的个人信息,如您授权e签宝的合作客户将您的姓名、身份证号、手机号码、邮箱地址、签署完成的电子文件共享至e签宝平台,您可以在本平台上查看、下载本平台上的信息或文件。
(四)其他信息
本隐私协议列明的内容并不能完整罗列并覆盖未来可能实现的所有功能和业务场景,我们将基于本隐私政策未载明的其他特定目的收集您的信息,但会事先征求您的同意。
(五)征得授权同意的例外
根据相关法律法规规定,以下情形中收集您的个人信息无需征得您的授权同意:
5.1 与个人信息控制者履行法律法规规定的义务相关的;
5.2 与国家安全、国防安全直接相关的;
5.3与公共安全、公共卫生、重大公共利益直接相关的;
5.4与刑事侦查、起诉、审判和判决执行等直接相关的;
5.5出于维护个人信息主体或其他个人的生命、财产等重大合法权益但又很难得到您本人授权同意的;
5.6所收集的个人信息是您自行向社会公众公开的;
5.7 根据个人信息主体要求签订和履行合同所必需的;
5.8从合法公开披露的信息中收集个人信息的,如合法的新闻报道、政府信息公开等渠道;
5.9根据您的要求签订合同所必需的或双方已在合同中另行约定的;

四、 我们如何使用COOKIE技术

六、 我们如何保护您的个人信息
(一)我们已使用符合业界标准的安全防护措施保护您提供的个人信息,防止数据遭到未经授权访问、公开披露、使用、修改、损坏或丢失。我们会采取一切合理可行的措施,保护您的个人信息。我们的应用服务全站使用https传输协议,采用权威CA颁发的TLS/SSL证书加密传输,确保您的个人信息和数据在传输过程中的机密性和完整性。我们要求全体员工签署《保密协议》,定期开展信息安全、隐私保护系列培训,不断提升员工对信息安全和隐私保护的意识。员工内部系统统一部署DLP数据防泄漏系统,对敏感和隐私数据的外发、打印及拷贝进行监控、追踪和审计等。
(二)我们已经取得了以下认证:ISO/IEC 27701 隐私信息管理体系认证、ISO/IEC 27001信息安全管理体系认证、ISO/IEC 27018公有云个人信息保护认证、可信云服务认证、公安部信息安全等级保护三级认证等国际及国内权威认证。我们积极对标国内外信息安全及隐私保护相关的法律法规,通过高强度的认证、高密级的加密保护,不断提升我们的信息安全及隐私保护标准,持续改进我们的产品和服务。
(三)我们承诺我们将使信息安全保护达到业界领先的安全水平。为保障您的信息安全,我们致力于使用各种安全技术及配套的管理体系来尽量降低您的信息被泄露、毁损、误用、非授权访问、非授权披露和更改的风险。例如:通过网络安全软件(SSL)进行安全传输、信息安全存储、严格限制数据中心的访问。传输和存储个人敏感信息(含个人生物识别信息)时,我们将采用安全、权限控制、去标识化等安全措施。同时我们对数据采取了备份和恢复技术,在数据丢失的情况下及时恢复。
(四)对我们与之共享个人信息的公司、组织和个人,我们会与其签署严格的数据保护条款,要求其按照我们的说明、本隐私政策以及其他任何相关的保密和安全措施来处理个人信息。
(五)为了保障您的信息安全,我们在收集您的信息后,将采取各种隔离必要的措施保护您的信息。我们会将去标识化后的信息与可用于恢复识别个人的信息分开存储,确保在针对去标识化信息的后续处理中不重新识别个人。

在以下情况发生时,您有权要求“e签宝”删除您的个人信息:
2.1我们没有征求您的明确同意,收集了您的个人信息。
2.2我们处理您的个人信息违反了法律法规要求。
2.3我们违反了与您的约定来使用和处理您的个人信息。
2.4您不再使用我们的产品或服务,或注销了“e签宝”账号。
2.5我们停止对您提供服务。
基于业务的需要,为维护交易多方的利益,在本条第二款2.4的情形下,我们仍将保留您与实名认证、意愿认证、签署业务直接关联的个人信息。
如您仍想删除此部分信息,需您与业务全部相关方授权同意,我们在收到您与业务全部相关方共同的删除指令后,会将该业务涉及的您的个人信息进行删除。
当您或我们协助您删除相关信息后,因为适用的法律和安全技术,我们可能无法立即从备份系统中删除相应的信息,我们将安全地存储您的个人信息并避免任何进一步处理,直到备份可以清除或实现匿名。
(三)更正您的个人信息
当您发现我们处理的关于您的个人信息有错误时,您有权要求我们做出更正。您可以通过www.www.produce-partner.com或联系客服予以更正。

(四)注销
如您不再需要使用我们的产品或服务,您可以通过www.www.produce-partner.com申请注销您的账户,我们承诺在15个工作日内完成核查和处理。
请您知悉,如您注销“e签宝”账户后,您将无法再以此账号登录和使用我们的产品和服务,我们将终止为该账号提供电子签名产品服务、存证服务、法律服务等。账号注销完成将无法恢复。但我们善意地提示您,为符合相关法律法规地要求,您在使用我们的产品和服务期间提供或产生地个人信息和数据我们仍会根据《电子签名法》的要求保存至少五年。
八、 未成年人个人信息保护
若您是未满18周岁的未成年人,在使用我们的产品及相关服务前,应在您的父母或其他监护人监护、指导下共同阅读并同意本隐私政策;
我们根据国家相关法律法规的规定保护未成年人的个人信息,只会在法律允许、父母或其他监护人明确同意或保护未成年人所必要的情况下收集、使用、共享或披露未成年人的个人信息;如果我们发现在未事先获得可证实的父母或其他监护人同意的情况下收集了未成年人的个人信息,则会设法尽快删除相关信息。

九、 免责声明
(一)“e签宝”含有其他网站的链接,我们可能在任何需要的时候增加商业伙伴或共用品牌的网站。“e签宝”对您通过“e签宝”链接到其他网站需要的隐私保护不负任何责任。
(二)因您个人原因导致账号密码泄露从而导致个人信息泄露的,“e签宝”不负任何责任,但我们会积极地配合您找回密码或更改密码。
十、 本隐私政策如何更新
(一)我们可能适时修订本隐私政策内容。我们会在本页面上发布对本隐私政策所做的任何变更。
(二)对于重大变更,我们还会提供更为显著的通知(我们会通过电子邮件或在浏览页面做显著提示的方式,说明本隐私政策的具体变更内容)。本隐私政策所指的重大变更包括但不限于:

本服务等级协议(Service Level Agreement,简称 “SLA”)规定了e签宝向用户提供的云服务或本地化软件服务的服务可用性等级指标及未达标时的赔偿方案。
服务周期:e签宝服务可用性按服务周期统计,一个服务周期为一个自然月,如用户使用e签宝服务不满一个月,则以用户使用e签宝服务的累计使用时间作为一个服务周期。
服务周期总分钟数:按照服务周期内的总天数╳24(小时)╳60(分钟)计算。
服务不可用:当出现e签宝服务接口发生故障无法连接或连接后无法返回预期结果,且持续一分钟以上并影响业务正常使用,视为该时间内服务不可用。
服务不可用分钟数: 在一个服务周期内e签宝服务不可用分钟数之和。
月度服务费:用户在一个自然月中就e签宝服务所支付的服务费用总额。以代金券结算或赠送的不计入月服务费用。
e签宝的服务可用性按服务周期统计,根据服务周期内不可用分钟数和总分钟数计算服务可用性,计算公式如下:
服务可用性 = (服务周期总分钟数-服务周期内不可用分钟数)/ 服务周期总分钟数× 100%
e签宝承诺服务可用性不低于 99.9%,如e签宝服务未达到上述可用性承诺,用户可以根据本协议第3条约定获得赔偿。赔偿范围不包括以下原因所导致的服务不可用:
(1)e签宝预先通知用户后进行系统维护所引起的,包括系统维护、升级、更新等;
(2)任何e签宝服务以外的网络、设备故障或配置调整引起的;
(3)用户的应用程序或数据信息受到黑客攻击而引起的;
(4)用户维护不当或保密不当致使数据、账户、密码等丢失或泄漏所引起的;
(5)用户的疏忽或由用户授权的操作所引起的;
(6)不可抗力以及意外事件引起的;
(7)使用e签宝服务提供黄色、暴力、赌博等相关违法服务,服务被关停的;
(8)用户指定单通道服务因服务供应商故障导致无法切换至其他服务供应商的;
(9)其他非e签宝原因所造成的不可用。
根据用户使用e签宝服务的月度服务可用性,按照下表中的标准计算赔偿金额,赔偿方式仅限于用于购买e签宝的服务的代金券,且赔偿总额不超过未达到服务可用性承诺当月用户就该服务所支付的月度服务费用(不含赠送和用代金券抵扣的费用)。

e签宝有权根据公司组织的信息安全和数据隐私策略调整对本服务等级协议部分条款进行相应调整,e签宝会通过发布公告(官网更新)、发送邮件或书面通知向用户提示相应的修改内容。

1.本协议是您与杭州天谷信息科技有限公司签订的就杭州天谷信息科技有限公司为您提供数字证书服务相关事宜的有效合同。您应当认真阅读并遵守《数字证书服务协议》(以下简称“本协议”),特别是以加粗方式特别提示的条款,本协议具有合同效力,当您勾选确认并完成全部注册程序后即成立生效。
2.请您务必审慎阅读、充分理解各条款内容,特别是我们对条款内容进行加粗显示的部分、e签宝权利条款、免责条款和争议解决条款。如您对本协议有任何疑问或对任何条款不能准确理解的,请不要进行后续操作。
3.您承诺接受并遵守本协议的约定,届时您不可以未阅读本协议内容或未获得杭州天谷信息科技有限公司对您问询的解答等理由,主张本协议无效,或要求撤销本协议。
4.与杭州天谷信息科技有限公司合作的第三方电子认证服务机构的列表作为本协议附件向您展示,您在首次申请并使用数字证书时,即视为您已经通过该机构的官方网站阅读其公示的《电子认证服务规则》、《数字证书服务协议》以及《数字证书使用安全提示》。
5.本数字证书服务协议更新日期为2021年8月13日,将于2021年8月13日正式生效。
一、数字证书服务简介
1.杭州天谷信息科技有限公司作为注册机构与信息产业部认可的电子认证服务机构合作,为通过实名认证后的个人或企业颁发数字证书,为个人或企业提供全面的电子签名服务。
2.您通过杭州天谷信息科技有限公司的e签宝平台完成实名认证并使用数字证书获得电子签名信任服务,成为e签宝电子签名体系不可分割的部分。
3.本协议中的“数字证书”指个人数字证书或企业数字证书。
4.该数字证书的形式包含UKEY证书和云证书。
二、名词解释
1.电子认证服务机构
受订户信任的,负责创建和签发、管理公钥证书的权威机构,有时也可为订户创建密钥。
2.注册机构
面向数字证书订户,负责订户数字证书的申请、审批和数字证书管理工作。
3.数字证书
经电子认证服务机构数字签名包含数字证书使用者身份公开信息和公开密钥的电子文件。
4.订户
通过e签宝向电子认证服务机构申请数字证书的个人、组织机构。
5.私钥
经由数学运算产生的密钥(由持有者保管),用于制作数字签名,亦可依据运算方式,就相对应的公开密钥加密的文件或信息(以确保资料的机密性)予以解密。
6.公钥
经由数学运算产生的密钥,可公开取得、并可用于验证由其对应的私钥所产生的数字签名。公开密钥亦可依据其运算方式,将信息或档案加密,再以对应的私钥进行解密。
7.依赖方
依赖方是指信赖于数字证书所证明的基础信任关系并依此进行业务活动的个人或机构。
三、数字证书的申请、使用、更新、吊销、归档
1.您使用数字证书前,需要向e签宝提出数字证书申请。您勾选本协议并接受e签宝提供的服务时,即作出了您申请数字证书的意思表示。您应当按照本协议的约定如实提供您申请数字证书所需的材料,以供e签宝进行审核。
2.您提交的数字证书申请材料通过e签宝的审核后,e签宝即为您向第三方电子认证服务机构申请颁发数字证书。e签宝会以一定的方式对您数字证书申请结果进行通告,如:您申请失败则无法继续享受e签宝的服务。
3.e签宝为您申请的数字证书只能在有效期限内、在e签宝平台上使用。数字证书有效期限届满,e签宝将为您自动更新数字证书。您的数字证书被吊销的,数字证书的有效期限届满。
4.依赖方接受到经您签名的信息后,可以验证数字证书的有效性,并使用数字证书上的公钥验证签名,以此判断其收到的信息中您的电子签名是否有效。
5.数字证书私钥在有效期内损毁、丢失、泄露的,您应当及时申请办理吊销手续,吊销自手续办妥时起生效,吊销生效前发生的损失由您承担。
6.您知悉证书私钥已经丢失或者可能已经丢失时,应当及时告知e签宝平台,协助完成吊销该证书的工作,并终止使用该证书。
7.如您将数字证书使用于法律、行政法规定义为非法事项上,e签宝将向第三方电子认证服务机构申请吊销您的数字证书。
8.e签宝将对您的数字证书信息进行归档,归档记录至少保存至证书失效后5年。
四、订户的权利和义务
1.您应按照e签宝规定的数字证书申请流程向e签宝平台提供有关资料,并保证所填写的注册信息和所提供的资料的真实性、准确性和完整性,否则e签宝平台或e签宝有权拒绝您的申请请求。
2.您的数字证书信息在有效期限内变更的,应当及时书面告知e签宝平台和e签宝,并终止使用该数字证书。
3.若您为企业用户,您企业分立、合并、解散、注销、宣告破产或倒闭,或被撤销营业执照等主体资格终止的,应于上述情况发生时的5个工作日内通过书面形式告知e签宝申请撤销数字证书,并终止使用该数字证书,否则,因未尽该通知义务给e签宝造成损失的,由您全部赔偿。
4.您同意e签宝平台向有关部门和个人核实您的信息。e签宝平台应合法地收集、处理、传递及应用您的资料,按照国家有关规定及本协议的约定予以保密。
5.您对数字证书享有独立的使用权。您使用数字证书产生的权利,由您享有;您使用数字证书产生的义务、责任,由您承担。
6.您应当妥善保管数字证书私钥。因您原因致使私钥泄露、损毁或者丢失的,损失由您承担。
7.为了您能够通过e签宝平台获得电子签名服务,您授权e签宝以适当的方式为您保存数字证书,以及在您的授权下帮助您调用数字证书。经您授权的行为,其权利义务及后果责任均归由您承担。
五、e签宝的权利和义务
1.e签宝应当根据与您签订的协议约定,为您提供数字证书服务。
2.您有下列情形之一,e签宝有权向第三方电子认证服务机构申请吊销数字证书并不承担任何责任。由此给e签宝造成损失的,您还应当向e签宝承担赔偿责任:
(1)您向e签宝平台提供的资料或者信息不真实、不完整或者不准确的;
(2)您数字证书的信息有变更,未终止使用该数字证书并通知e签宝平台的;
(3)您知悉私钥已经丢失或者可能已经丢失时,未终止使用该数字证书并通知e签宝平台的;
(4)您超过数字证书的有效期限及应用范围使用数字证书的;
(5)您企业分立、合并、解散、注销、宣告破产或倒闭,被撤销营业执照等主体资格终止的;
(6)您使用数字证书用于违法、犯罪活动的。
六、免责条款
1.因设备故障、电力故障及通讯故障或者电脑病毒、自然灾害等因素造成您损失的,e签宝不承担任何责任。
2.由于第三方电子认证服务机构的原因导致数字证书私钥被破译、窃取,致使您遭受损失的,由第三方电子认证服务机构向您承担赔偿责任。
七、协议的终止
有下列情形之一的,本协议终止:
1.您的数字证书期限届满;
2.您的数字证书被吊销;
3.您向e签宝申请吊销数字证书或终止本协议,e签宝同意的;
4.双方协商终止本协议的;
5.依据法律、法规等规定,本协议应当终止的。
八、争议解决条款
因本协议产生的争议,不论争议金额大小,均提交杭州仲裁委员会适用杭州仲裁委员会仲裁规则项下的简易程序进行仲裁。仲裁裁决为终局的,对各方均有拘束力。

认证服务协议(以下简称“本协议”)是杭州天谷信息科技有限公司(以下简称“e签宝”或“我们”)与用户(以下尊称“您”)就认证服务(以下简称“本服务”)的使用等相关事项所订立的有效合约。
本协议有助于您理解我们为您提供的服务内容及您的权利和义务,请您仔细阅读。
为便于您使用本服务,您通过网络页面点击或以其他形式确认本协议的,即视为您已充分理解本协议所有条款,同意与e签宝订立本协议并接受本协议的约束。
本协议更新于2021年9月15日,于2021年9月15日生效。
一、定义
用户:是指使用e签宝认证服务的主体,用户可以是个人,也可以是企业。
认证服务:指e签宝提供的,通过信息核验、人脸比对、校验码回填、人工审核等方式确认您身份的真实性,并将认证结果反馈给您或向您提供产品或服务的供应商(以下简称“供应商”)的服务。认证服务在e签宝产品体系内的具体应用包括实名认证及意愿认证。
实名认证:指e签宝提供的,通过信息核验、人脸比对、人工审核等方式确认您身份的真实性,并将认证结果反馈给您或供应商的服务。
意愿认证:指e签宝提供的,通过人脸比对、校验码回填等方式确认用户在签署发生时身份的真实性,并将认证结果反馈给您或供应商的服务。用户在首次签署发生时尚未进行实名认证的,则仅需完成实名认证即可同时作为意愿认证的认证结果。
认证结果:认证结果包括是否通过认证服务的结果,以及您提供的用来进行身份认证的个人信息或企业信息。个人信息和企业信息的具体范围根据您使用的认证方式确定。
二、授权与许可
2.1 为向您提供本服务,供应商需要将您在申请服务过程中所填写或留存的信息(例如:姓名、身份证号码、手机号码等)提供给e签宝。
2.2 为准确核验您的身份,尽量防止您的身份被冒用,您授权e签宝采集您的设备信息以验证您在进行认证时是否处于可信环境,并根据不同的认证方式按需收集您的人脸照片、身份证件、银行卡号、手机号、组织机构统一社会信用代码、企业对公账户等信息。
2.3 为准确验证您的身份,e签宝需在必要时将前款载明的信息提供给合法存有您信息的第三方机构进行比对核验,以便e签宝核验您的身份真实性。
2.4 为便于供应商评估是否向您提供产品或服务,您授权供应商可向e签宝调取e签宝的认证结果。
三、您的权利义务
3.1 e签宝会尽力提升核验结果的准确性,但由于e签宝能收集到的信息范围有限,以及行业技术水平及核验手段仍在完善过程中,e签宝无法确保核验结果完全准确无误。如您发现核验结果不准确,您可通过客服电话400-087-8198告知我们,以便我们重新核验并逐步提升核验能力。
3.2 您不得将本服务用于中国法律法规所限制或禁止,以及违背道德风俗的领域,否则因此导致e签宝或第三方遭受损失的,您应承担相应赔偿责任。
3.3 如您发现我们收集、使用您个人信息的行为,违反了法律、行政法规规定或违反了与您的约定,或您发现我们采集、储存的您的个人信息有错误的,您可通过客服电话400-087-8198告知我们,要求删除或更正。
3.4 您应当知悉,本服务仅对个人或企业身份在实名阶段或意愿认证阶段的真实性进行校验。
3.5您认可e签宝通过本服务所提供的认证方式进行对您的身份进行认证,您应当妥善保存能够对您身份进行认证的信息、材料以及设备。如相关信息、材料或设备发生泄露、遗失等失去您控制的情形,您应当及时通知e签宝,否则e签宝有权利认定相应认证行为由您完成。
四、e签宝的权利义务
4.1 e签宝应按本协议约定向您提供本服务。
4.2 e签宝会根据认证技术的发展及市场风险环境的需要,不断调整完善相应认证服务的内容及形式。
4.3 e签宝提供认证服务所处理的个人信息仅限于履行认证服务所必须获取的信息,该情形符合《个人信息保护法》第十三条之规定,如您使用认证服务,则e签宝有权处理您的个人信息。
4.4 除根据法律法规规定及本协议对您的个人信息予以保护外,在处理您的信息时,我们将依据e签宝《用户隐私政策》严格保护您的信息。请您在e签宝官网仔细阅读该政策,如有任何疑问,请随时联系我们。
4.5 向供应商提供您的认证结果如涉及向境外提供个人信息的情形,e签宝应要求供应商根据《个人信息保护法》的规定处理。
五、数字证书服务
5.1 您的供应商购买e签宝的认证服务仅用于身份认证用途的,e签宝不会为您申请数字证书。
5.2 您的供应商购买e签宝的认证服务同时购买电子签名服务的,e签宝将在您完成实名认证后为您申请数字证书,并在您签署时为您调用数字证书。您使用e签宝的电子签名服务视为您同意授权e签宝为您生成并调用数字证书,否则您应当停止使用e签宝的电子签名服务。
5.3 我们将依据e签宝《数字证书服务协议》向您提供数字证书服务。请您在e签宝官网仔细阅读该协议,如有任何疑问,请随时联系我们。
六、除外责任
您理解并同意,鉴于计算机、互联网的特殊性,下述情况不属于e签宝违约:1)因自然灾害如洪水、地震、瘟疫流行等以及社会事件如战争、动乱、政府行为、电信主干线路中断、网路堵塞、电信部门技术调整和政府管制等导致本服务不能提供或中断;2)黑客攻击造成服务中断、信息数据泄露;但我们应按照本协议约定做好应急处理。3)e签宝在进行服务器配置、维护时,需要短时间中断服务;4)由于Internet上的通路阻塞造成您网站访问速度下降;5)因国家法律法规及政策的相关要求,中断或终止本服务。
七、协议变更
为了满足您多样化和专业化的服务需求,我们将根据国家法律、法规及其他规范性文件及业务需要,可能 增加、变更服务内容或服务方式,我们可能对本协议内容进行变更,并以在e签宝官方网站 (www.www.produce-partner.com)发布公告的方式提前予以公布。若您不接受本协议的变更,您有权自主决定选择停止使用本服务。若您在公告约定的生效时间后继续使用本服务的,表示您已充分阅读、理解并接受变更修改后的协议内容。
八、适用法律及管辖条款
本协议适用中华人民共和国法律(仅为本协议之目的,不包括香港特别行政区、澳门特别行政区及台湾地区法律)。因e签宝与您就本协议的签订、履行或解释发生争议,双方应努力友好协商解决。如协商不成的,e签宝和您均同意向被告住所地人民法院提起诉讼。
